Job Description

As Manager, Corporate Finance you will play a central role in overseeing the accounting, finance, and compliance functions in a dynamic and deal based environment as we look to grow rapidly. This includes managing day-to-day operations, periodic and annual reporting requirements, and ad-hoc requests.

You will also be responsible for preparing and reviewing financial models as well as presentation material for senior executives and the Board as the Company evaluates investment opportunities. This will include identifying risk areas and providing helpful financial insights for discussion amongst the Executive team.

We are looking for a highly motivated self-starter with an impeccable attention to detail who is comfortable working in a small team, while working on multiple initiatives in a results-based environment. The ideal candidate will have foundational accounting knowledge with 7+ years of experience, including experience working with financial models.

Who You'll Work With

As a member of our finance team, you will work alongside CVW CleanTech’s Executive team and report directly to the Company’s Chief Financial Officer. You will ideally be based in our Calgary office with a flexible work philosophy.

What You'll Do

Play an integral role as part of the CVW CleanTech finance team and cooperate on a variety of initiatives, including:

  • Review the quarterly financial statements, financial projections, and other quarterly reporting documents;
  • Manage the annual audit function. Prepare technical accounting memos and working papers to support complex transactions;
  • Take ownership of the Company’s general ledger and review the month-end reconciliations. Manage the annual budgeting process;
  • Support the preparation and review of governance documents including quarterly Board packages, Investment Committee presentations, company policies, and other;
  • Take ownership for regulatory reporting including the Annual Information Form, the Management Information Circular, and other regulatory filings;
  • Analyze economic models of individual private and public companies with a focus on valuation of potential investments by the Company;
  • Work alongside the business development team to prepare material on investment opportunities for senior management and the Board to review;
  • Be an integral member of the deal underwriting process by providing financial insights and recommendations to assess financial risk and return of investment opportunities and support decision-making;
  • Be involved in the execution of transactions including through diligence and structuring activities;
  • Manage the stock-based compensation program for the Company including facilitating the exercise of share-based awards and warrants, maintaining the Company’s share-based awards database, preparing documentation and valuations for the granting of new share-based awards, and making the regulatory filings related to movement in share-based awards, and
  • Evaluate the merits of migrating to a different ERP system and, if required, manage the implementation of a new ERP system.

Relevant Skills / Experience:

  • 7+ years of experience as a Chartered Professional Account (CPA, CA);
  • The ideal candidate need not have experience in a specific industry, however experience in the resources, manufacturing, clean technologies, or other capital intensive sectors would be considered an asset;
  • Experience managing the financial reporting of a publicly traded company and experience with IFRS would be considered an asset;
  • Demonstrated project management skills or deal/transaction execution experience;
  • Advanced skills in financial modeling and data interpretation;
  • Ability to balance multiple priorities and deadlines while maintaining a high attention to detail;
  • Excellent interpersonal skills with strong written and verbal communication abilities, and
  • Capable of working collaboratively with a small team in a fast-paced growth environment, but is comfortable driving work to completion independently when required.
