The Board of Directors is a legal authority of WECAN Food Basket Society. As a member of the Board, the Board member acts in a position of trust for the community, and is responsible for the effective governance of the organization. Board members commit to a two-year term, with the opportunity to continue for additional terms after that. Those with non-profit experience or who are familiar with the WECAN program and organization are highly desirable board member candidates.

Treasurer Specific Duties
The WECAN Treasurer has oversight for all financial matters including;
- Chair monthly finance meetings.
E-transfer, sign cheques, and sign off on all monthly expenses.
Ad-hoc financial reports for Fundraising committee & other board reports. - Review of monthly financial results, including coordination of any adjustments with bookkeeper, Program Manager, and Administrative Assistant.
- Monthly board reports including grant funding breakdown, income statement by class, and forecasting of how long Casino & General revenue will fund expenses.
- Review of internal audit completed by non-board member finance committee members.
- Prepare and present the annual budget to the board.
- Prepare and present annual financial results in annual WECAN report for AGM.
- Ongoing review of internal policies and procedures.
- Understanding of financial accounting for nonprofit organizations.
- Review of compilation engagement for WECAN.
- Prepare and file annual WCB.
- Prepare annual Casino reporting including pulling all required expense and revenue backup for annual audit.
- File ad-hoc Casino reports for raffles or other gaming activities.
Requirements of Board Membership include:
- Purchase a membership in THE SOCIETY annually ($5.00, due at the start of term and in May each year there after)

Commitment to the work of the organization and being a board member for at least one term of TWO years.

Knowledge and skills in one or more areas of Board governance: policy, finance, programs, personnel and advocacy.

Willingness to serve on at least one committee (Treasurer would chair our Finance & Audit Committee).

Attendance at monthly Board meetings (in most months, this is an in-person meeting at the Jerry Forbes Centre).

Attendance at monthly committee meeting(s).

Attendance at Annual General Meetings (in person preferred if possible).

Support for special events.

Support of, and participation in, fundraising events.

General Board Member Duties
A Board Member is fully informed on organizational matters, and participates in the Board’s deliberations and decisions in matters of policy, finance, programs, personnel and advocacy.
A Board Member will:

Sign a Confidentiality and Board Member Responsibilties agreement.

Be fully informed on organizational matters, and participates in the Board’s deliberations and decisions in matters of policy, finance, programs, personnel and advocacy

Attend and participate in at least one WECAN distribution day at one of the Depots, to better their understanding of the front-line process of WECAN.

Sit on at least 1 (one) standing committee of their choosing, for the duration of their term.

Participate in the development of the SOCIETY’S organization and strategic plans.

Approve, where appropriate, policy; and other recommendations received from the Board, its standing committees and staff.

Monitor all Board policies.

Review the bylaws and help create the policy manual and recommend bylaw changes to the membership.

Review the Board’s structure, approve changes, and prepare necessary bylaw amendments.

Approve the budget.
-
Approve the hiring and release of staff based on the recommendations of the HR Committee.

Assist in developing and maintaining positive relations among the Board, committees, staff members, and community to enhance the SOCIETY’S mission.

Support and participate in the fundraising activities of the SOCIETY.

Be fully prepared for each board meeting by reading the minutes, action items, other items up for discussion, prior to attending the meeting.
